Your name capitalized is already a business. You are a sole proprietorship the day you are born, and nobody tells you. The tax code is written for businesses, not for people. You have been filing as an individual your whole life and missing everything that belongs to the entity.
This is Don Kilam’s Namepreneur teaching and the Tax Master Class playbook: make the name a business, stack the structure, and run the plays the code already wrote for you. πβ¨
PART 1: THE NAMEPRENEUR CONCEPT β THE NAME IS THE BUSINESS
- Your name capitalized is a business identity. Make it an entity β LLC, S-corp, C-corp, or trust β with an EIN, an operating agreement, and a registered agent.
- The stack: the operating company on the bottom, the holding company above it as the single member β never you personally, keep arms-length distance β and above that, the trust with its grantor, trustee, and beneficiary roles. The trust lives on the private side and reports nothing to the Secretary of State.
- The moment your name is a business, your bills become deductibles and you work for the family trust as a contractor, not an employee. Individuals do not hold wealth β families hold wealth.
- Build business credit on the entity: DUNS number, net-30 tradelines, EIN-based funding. Business credit repair starts with the entity’s profile, not your Social Security Number.

PART 2: THE SIX MASTER CLASS PLAYS
- FREE CAR WITH TAX FORMS β business vehicle use. Actual expense method versus standard mileage method. Listed property rules: document the business-use percentage and keep the mileage log. The vehicle the business owns and uses for business is deductible β stop paying for your car with after-tax money.
- LIVE RENT FREE β THE AUGUSTA RULE, 26 U.S.C. Β§ 280A(g). Rent your home to your business for up to 14 days per year and that rental income is TAX-FREE β not reported, not taxed. Board meetings, planning sessions, video shoots, client days: the business pays you, the deduction is real for the business, and you keep the money tax-free. This is a statute on the books, in plain English. Use it every year.
- SPEND YOUR MONEY TWICE β THE R&D TAX CREDIT. Full walkthrough below β this is the centerpiece of the Master Class.
- GET PAID FROM YOUR BANK β accountable plans and the S-corp salary/dividend split. Reasonable salary plus distributions, payroll taxes on the salary side only, and fringe benefits paid by the company under an accountable plan with substantiation and returns of excess.
- FILE ON YOUR MONTHLY BILLS. The household expenses become business deductions when the trust or entity has made your name a business and brought you in to administer them. The family trust contracts with you; the bills are the business’s.
- THE R&D CREDIT ITSELF. See Part 3 β up to $500,000 back every year.
PART 3: THE R&D TAX CREDIT WALKTHROUGH β SPEND YOUR MONEY TWICE

THE FOUR-PART TEST
- Technological in nature β the work relies on principles of physical or biological science, engineering, or computer science.
- New or improved business component β a product, process, software, technique, formula, or invention you are developing or improving.
- Experimentation β you are evaluating alternatives through modeling, trial and error, iteration, testing.
- Elimination of uncertainty β you are resolving technological uncertainty about capability, methodology, or design.
If you build software, improve products, redesign processes, or develop any proprietary method, you are already doing qualified research β you just never claimed it.
QUALIFIED RESEARCH EXPENSES (QREs)
- Wages for qualified services β time spent on, supervising, or supporting qualified research.
- Supplies consumed in research.
- Contract research β 65% of amounts paid to third parties for qualified research. The funding-side rules: time-and-materials contracts qualify at 65%, funded research at 75% where the rights belong to the payor, and 100% where you retain substantial rights.
- Computer rental for research use.
FORM 6765, LINE BY LINE
- Section A β the regular credit, computed on the fixed-base percentage formula: current-year QREs against the fixed-base percentage; new businesses generally use 6% of average annual gross receipts.
- Section B β the Alternative Simplified Credit, 14% of QREs above 50% of the prior three years’ average QREs. Elect the higher of the two.
- Section 280C election β claiming the credit reduces the deduction for the QREs by the credit amount; understand the reduced-credit election and when keeping the full deduction beats taking the full credit.
FORM 8974 β THE PAYROLL-TAX OFFSET. THE PLAY MOST SMALL BUSINESSES NEVER LEARN.
- Qualified small businesses β gross receipts under $5 million, no gross receipts more than five years back β can elect up to $500,000 of the R&D credit against the EMPLOYER portion of FICA.
- You do not need income tax liability to use this credit. You take it against the payroll taxes you already pay every quarter.
- Claimed on Form 941, quarterly, carried forward until used.
UP TO $500,000 BACK EVERY YEAR FOR QUALIFIED RESEARCH EXPENSES. This is what Don Kilam teaches people to get back.
DOCUMENTATION THAT SURVIVES AUDITS
Project-by-project records, time tracking or a reasonable allocation methodology, the technical uncertainty narrative for each project, payroll registers tied to the qualified activities, invoices for supplies and contract research. The audit-proof file is the asset.

PART 4: FORM 4562 β SECTION 179, BONUS DEPRECIATION, AND MACRS
- Section 179 immediate expensing: $2.5 million limit for 2026, phasing out above $4 million of equipment placed in service. The $31,300 SUV cap for vehicles over 6,000 lbs GVWR.
- 100% bonus depreciation on qualifying property.
- MACRS classes: 5-year for vehicles and computers, 7-year for furniture and most equipment, 39-year for nonresidential real property.
The entity buys the asset. The asset writes off against the entity’s income.
PART 5: THE 1099 FAMILY β USED RIGHT
- 1099-NEC: nonemployee compensation β what you file when you pay contractors, and what you receive when you are paid as a business.
- 1099-INT: interest income. Backup withholding sits at 24% β if you have been having 24% taken from your interest, you can recover it on your return. Early-withdrawal penalties on CDs are deductible. Treasury interest β T-bills and T-notes β is exempt from state income tax. File it on the right line.
- 1099-DIV: dividends and capital gain distributions β qualified dividends get capital gains rates, not ordinary rates.
- 1099-B: brokered sales. Covered securities, wash sales, and Form 8949 codes β the codes on 8949 (A, B, C, D, E, F, X) determine how each sale flows to Schedule D. Read the code column before you file.
- 1099-A: acquisition or abandonment of secured property. When a lender issues one, the box 2 FMV versus the outstanding balance in box 4 creates the gain or loss on the discharge. On a primary residence, the Section 121 exclusion shelters up to $250,000 single / $500,000 married β and through 2026 the expanded exclusion reaches up to $750,000.
- The 1096 transmittal paper-clips the whole packet when you file information returns on paper. Red-ink official forms for Copy A, or e-file.
These forms report income. Used right, they are a map of what is recoverable. Used wrong, they are a list of everything you never claimed.
PART 6: THE 1099-OID / 1099-A DISCHARGE PLAY β EXAMINED, NOT INSTRUCTED
The Master Class materials also examine the 1099-OID and 1099-A “discharge” theories β the claims that prepaid Treasury accounts and redemption processes can settle debts.
This material is presented EXAMINED: quoted with attribution, laid beside the IRS’s Notice 2010-33 frivolous-position list, the Β§ 6702 frivolous-return penalties β $5,000 per filing β and the actual prosecutions: Shrout, Morton, Anderson, and Tucci-Jarraf. It is part of the curriculum so members know exactly what the authorities say about it.
No filing instructions are given for this play. The defensible plays β the R&D credit, the Augusta Rule, Section 179, the accountable plan β are where the real money is recovered, and they stand fully within the four corners of the Internal Revenue Code.
PART 7: ENROLLED AGENT STATUS β THE CREDENTIAL
Enrolled agent status is the highest credential the IRS awards β above attorneys and CPAs, unlimited practice rights, 72 hours of continuing education every three years, and it starts with a PTIN for about $30. When you are ready to take the tax position into representation, EA is the seat.
7. Enrolled agent status: know the credential
An enrolled agent is a federally credentialed tax practitioner with broad practice rights before the IRS. Enrolled agents must meet IRS enrollment requirements, maintain a PTIN, and complete continuing education. The credential represents tax knowledge and IRS representation rights; it is distinct from a CPA or attorney license. Verify an enrolled agentβs status through the IRS.
